Introduction

Welcome to Orys AI (“Orys AI”, “we”, “our”, or “us”). These Terms of Service (“Terms”) govern your access to and use of the Orys AI website, software platform, and related services (collectively, the “Platform”). By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not agree, you may not use the Platform.

1. Acceptance of Terms

By accessing or using Orys AI, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

2. Description of Services

Orys AI is a cloud-based, AI‑assisted cost estimating platform designed for the chemical, oil & gas, and industrial construction industries.

Authorized users create an organization account, start projects, and upload project documents such as drawings and specifications in PDF format. The Platform provides digital takeoff tools, including count, linear measurement, area measurement, and related quantity extraction tools that allow users to perform measurements directly on uploaded documents. Users may build and maintain an organization-wide cost catalog containing items, assemblies, and supporting product information. Catalog data may be created manually or through an AI‑assisted workflow that organizes vendor quotes and source files into structured folders, items, and assemblies; however, the AI does not take any action unless explicitly initiated and confirmed by the user. Within a project, users link takeoff measurements to catalog items or assemblies, enabling real‑time calculation of quantities, costs, and project totals. Project reports update dynamically based on user actions and may be customized or exported to Excel using available filters.

The Platform is provided as a subscription‑based SaaS application, and project data, catalog data, and estimating information are shared across authorized members of the customer organization under a single subscription.

3. AI-Assisted Workflows and User Control

3.1 User Confirmation Required

Orys AI is designed so that the AI does not execute any action, generate any estimate output, or modify any catalog data without explicit confirmation from the user. Every AI-assisted action is presented to the user for review before it is applied. The user retains full control over all outputs at all times. No changes are made to a user’s projects, catalog, or data without the user’s affirmative approval.

3.2 AI as an Assistant

The AI functions strictly as an assistant to the estimator. It may suggest items, assemblies, or cost data based on uploaded documents, but it is the user’s responsibility to review, validate, and confirm any AI-generated suggestion before it becomes part of a project or catalog. Orys AI is not liable for outcomes resulting from user-confirmed AI suggestions that are not independently validated by a qualified estimating professional.

4. Pricing and Payment

4.1 Subscription Model

Orys AI operates on an organization-level subscription basis, available on monthly or annual billing cycles. Each subscription includes a defined number of user seats. Additional seats may be purchased at any time. Subscription rates, included seat counts, and additional seat pricing are set out in your Master Service Agreement (MSA) or order form.

4.2 Payment Processor

All subscription payments are securely processed via Stripe. By making a payment through the Platform, you agree to be bound by Stripe’s Terms of Service in addition to these Terms. Orys AI does not store or have access to your full payment card details.

4.3 Annual Subscriptions

Annual subscriptions are billed upfront for a 12-month period. Annual subscriptions are non-refundable except in cases of material Platform failure not remediated within a reasonable timeframe. Cancellation of an annual subscription takes effect at the end of the paid term.

4.4 Monthly Subscriptions

Monthly subscriptions renew automatically on a monthly basis unless cancelled in writing prior to the renewal date. Cancellation requests must be submitted to [email protected]. No refunds are issued for partial billing periods unless otherwise agreed in writing.

5. Estimates and Accuracy

5.1 Nature of AI-Assisted Estimates

Estimates generated by the Platform are AI-assisted approximations intended as reference tools for budgetary and planning purposes. All cost outputs should be reviewed and validated by a qualified estimating professional before being used for bidding, procurement, contracting, or capital planning.

5.2 User Responsibility

Users bear full responsibility for reviewing, confirming, and applying any estimates generated through the Platform. Because no AI action is applied without user confirmation, the user is responsible for the accuracy of any estimate or catalog entry they have approved. Orys AI is not liable for losses, inaccuracies, or business decisions made in reliance on Platform-generated estimates.

6. Customer Data and AI Model Training

6.1 No AI Training on Customer Data

Orys AI does not use customer-uploaded documents, project data, catalog data, cost information, or any other customer content to train, fine-tune, or improve any AI or machine learning model - including any third-party model - without the express prior written consent of the customer. This prohibition applies to all data submitted to the Platform by any user within a customer organization.

6.2 Data Use

Customer data uploaded to or generated within the Platform is used solely to provide the services described in these Terms to that customer organization. It is never shared with or made accessible to other customer organizations.

6.3 Data Processing Agreement

Enterprise customers and customers subject to data protection regulations (including GDPR) may request a Data Processing Agreement (DPA) by contacting [email protected]. A DPA must be executed prior to uploading any regulated or sensitive data to the Platform.

7. Data Deletion

7.1 User-Initiated Deletion

Users may delete individual projects, catalog entries, or documents from within the Platform at any time. Upon deletion, the relevant data is permanently removed from Orys AI’s production systems and is not recoverable. Deletion is not reversible.

7.2 Account and Organization Deletion

Upon termination of a subscription or written request to delete an organization account, all associated customer data - including projects, catalog data, uploaded documents, and user records - will be permanently deleted from production systems within 30 days of the termination or request date. Backups containing customer data are purged on a rolling basis within the applicable retention window of the backup system. Orys AI will provide written confirmation of deletion upon request.

7.3 Legal and Financial Retention Exceptions

Certain records may be retained beyond the standard deletion window where required by applicable law, financial regulation, or tax obligation. In such cases, retained data is limited to the minimum necessary for compliance and is not used for any other purpose.

8. Data Security

Orys AI maintains a comprehensive security program. Security controls are independently monitored through our compliance engagement with Vanta. Orys AI is actively preparing for SOC 2 Type II certification through our compliance program with Vanta. Our security program includes:

All data encrypted in transit via HTTPS/TLS 1.2 or higher across all Platform components
All customer data encrypted at rest using AES-256
Role-based access control (RBAC) enforced with four organizational roles: Owner, Admin, Estimator, and Viewer
Multi-tenant isolation ensuring no customer organization can access another organization’s data
Short-lived, read-only signed access tokens for any customer document access (1-hour expiry)
Full action audit logging with AI-assisted action attribution

9. Acceptable Use

Users may not:

Use the Platform for any unlawful purpose or in violation of applicable regulations
Upload content that infringes third-party intellectual property rights
Attempt to reverse-engineer, decompile, or tamper with the Platform or its AI components
Resell, sublicense, or redistribute access to the Platform without written authorization
Use the Platform to transmit malicious code, spam, or unauthorized automated requests

10. Intellectual Property

All content, software, visual interfaces, logos, trademarks, and proprietary methodologies on the Platform are the property of Orys AI and are protected under applicable intellectual property laws. Customer-uploaded data and catalog content remain the property of the respective customer organization. No rights to Orys AI’s intellectual property are transferred by these Terms.

11. Confidentiality

Each party agrees to maintain the confidentiality of the other party’s non-public information and not to disclose it to third parties without prior written consent, except as required by law. Customer data is treated as confidential by default. Orys AI personnel with access to customer data are bound by written confidentiality obligations.

12. Limitations of Liability

To the fullest extent permitted by applicable law, Orys AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to: the use or inability to use the Platform; inaccuracies in AI-assisted estimates confirmed by the user; or business decisions made based on data generated by the Platform. Orys AI’s total aggregate liability for any claims under these Terms shall not exceed the amounts paid by the customer in the twelve (12) months preceding the claim.

13. Modification of Terms

Orys AI reserves the right to update these Terms at any time. Material changes will be communicated to active customers via email at least 14 days prior to taking effect. Continued use of the Platform after the effective date of changes constitutes acceptance of the revised Terms. The current version of these Terms is always available at orysai.com/terms-and-conditions.

14. Termination

Either party may terminate the subscription upon written notice in accordance with the terms of the applicable MSA or order form. Orys AI reserves the right to suspend or terminate access immediately for material violations of these Terms, including unauthorized use, data misuse, or non-payment. Upon termination, customer data will be handled in accordance with Section 7 of these Terms and the data retention provisions of any applicable MSA or DPA.

15. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. All disputes arising from these Terms or use of the Platform shall be resolved in courts located in Harris County, Texas.

16. Service Availability

Orys AI aims to maintain high availability of the Platform but does not guarantee uninterrupted or error‑free operation. Scheduled maintenance windows, emergency updates, or factors outside Orys AI’s reasonable control may result in temporary service interruptions. Any service‑level commitments or uptime guarantees are defined exclusively in the customer’s Master Service Agreement (MSA), if applicable.

17. Support

Orys AI provides standard support to customers through email at [email protected] and phone at +1 (346) 303-2588. Support hours, response times, and any enhanced support tiers are defined in the customer’s MSA or order form. Orys AI is not responsible for delays caused by incomplete information, third‑party systems, or issues outside the Platform.

18. Subprocessors

Orys AI may engage third‑party subprocessors to support the delivery of the Platform. A current list of subprocessors is available upon request. Orys AI will notify customers of material changes to its subprocessor list and will ensure all subprocessors are bound by written agreements requiring data protection obligations no less protective than those described in these Terms.

19. Export Compliance

Users represent and warrant that they are not located in, under the control of, or a national or resident of any country or region subject to U.S. embargoes or sanctions, and are not listed on any U.S. government restricted party list. Users agree not to export, re‑export, or transfer the Platform or any related technical data in violation of applicable export control laws.

20. Beta Features

Orys AI may make certain features available as beta, preview, or early‑access functionality (“Beta Features”). Beta Features are provided solely for evaluation, may be modified or discontinued at any time, and are offered “as‑is” without warranties. Users acknowledge that Beta Features may be less stable or accurate than production features and agree to use them at their own risk.

21. Indemnification

21.1 Customer Indemnification

The customer agrees to indemnify and hold harmless Orys AI from any claims, damages, or liabilities arising out of:

misuse of the Platform,
violation of these Terms, or
infringement caused by customer‑provided data or content.

21.2 Orys AI Indemnification

Orys AI will indemnify the customer against third‑party claims alleging that the Platform, when used as permitted, infringes a U.S. patent, copyright, or trademark. This obligation does not apply to claims arising from:

customer misuse,
modifications not made by Orys AI, or
use with third‑party systems not approved by Orys AI.

These indemnification obligations are subject to the liability limitations in Section 12.

22. Force Majeure

Orys AI is not liable for delays or failures to perform resulting from events beyond its reasonable control, including natural disasters, power outages, internet failures, labor disputes, war, terrorism, or governmental actions. Performance will resume once the event is resolved.

23. Feedback

If users provide feedback, suggestions, or recommendations regarding the Platform (“Feedback”), Orys AI may use such Feedback without restriction or obligation. Feedback does not include customer data.

24. Survival

Sections relating to confidentiality, intellectual property, limitations of liability, indemnification, governing law, and any other provisions that by their nature should survive termination will remain in effect after termination of these Terms.
